Terms of Service

1. Who we are, and what you are agreeing to

Fokuzen is operated by Paul Pérez, an individual established in Uruguay ("we", "us"). By creating an account or using Fokuzen you agree to these terms. If you do not agree, do not use the service. If you are using Fokuzen on behalf of an employer or client, you confirm you are authorized to accept these terms for them.

2. This is a closed beta

Fokuzen is in closed beta: access is by invitation, and the service is free of charge for now. That has consequences you should accept before relying on it. Features may change, be reduced, or be removed. Data structures may change and, in an exceptional case, we may need to reset derived data such as scores, aggregates, or the AI profile. There is no uptime commitment and no service level agreement. Keep your own copy of anything you cannot afford to lose.

3. What Fokuzen does

Fokuzen is an AI-assisted productivity application that helps you manage tasks, run focus sessions, and triage notifications from your work tools. It connects to GitHub, Gmail, Google Calendar, Slack, and Jira, but only where you explicitly authorize each one. AI features send some of your content to a third-party model provider; section 6 covers this and the Privacy Policy covers it in detail.

4. Your account

You must be at least 16 years old to create an account. You are responsible for keeping your sign-in credentials secure and for activity that happens under your account. Tell us at support@fokuzen.com if you suspect unauthorized access. One account is for one person: do not share credentials. Invitations to the beta are personal and not transferable.

5. Your content

You keep ownership of everything you put into Fokuzen — tasks, notes, calendar events, and anything pulled in from the integrations you connect. You grant us a limited, non-exclusive, worldwide licence to host, store, transmit, display, and process that content, for the sole purpose of operating the service for you and only for as long as you keep it in Fokuzen. We do not sell it, we do not use it for advertising, and we do not use it to train AI models — ours or anyone else's. You are responsible for having the right to put into Fokuzen whatever you put in, including content that comes from an employer's systems.

6. AI features

When you use an AI feature — task breakdowns, rewrites, prioritization, daily briefs, notification triage, suggestions — the relevant content is sent from our servers to the Google Gemini API for processing, and task content is additionally sent to Google's embedding model. Under Google's API terms this content is not used to train Google's models. AI suggestions are deleted after 14 days and daily briefs are overwritten daily. You can disable AI features entirely under Settings → Brief & AI.

AI output can be wrong, incomplete, or confidently misleading. Treat every suggestion, priority score, brief, and summary as a starting point, not as fact, and never as professional advice. You remain responsible for decisions you make with it — Fokuzen ranking a task as low priority is not a reason a deadline was missed.

AI usage is metered in credits, and each plan tier has an allowance. During the beta, credits are granted free of charge and no payment is taken. We may adjust allowances, rate limits, and which model backs each tier as we learn what the service costs to run; where a change reduces what you get, we will announce it beforehand. If a model provider becomes unavailable, AI features may degrade or pause without notice.

7. Integrations

Each integration requires its own explicit OAuth authorization, and we request only the scopes that integration needs. Google scopes are requested per integration — Gmail or Calendar separately — never bundled into sign-in. You can disconnect any integration at any time under Settings → Integrations, which stops that integration immediately and deletes the data it brought in. When you disconnect the last Google integration, we ask Google to revoke our access entirely.

Connected services are operated by other companies under their own terms and privacy policies, and your use of them through Fokuzen is also subject to those. Our use of data received from Google APIs follows the Google API Services User Data Policy, including its Limited Use requirements. We are not responsible for a third-party provider changing its API, its terms, or its pricing, and such a change may force us to alter or withdraw an integration.

8. Acceptable use

Do not reverse-engineer the service, probe or circumvent its security or rate limits, scrape it at scale, or automate access outside the intended interface. Do not use Fokuzen to store or process unlawful content, malware, or content you have no right to. Do not resell access or use the service in a way that degrades it for other users. Do not use it to build a competing product. We may suspend an account that breaks these rules.

9. Availability

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, timely, secure, or error-free, or that AI output will be accurate. Some jurisdictions do not allow the exclusion of certain warranties; where that applies to you, the exclusions above apply only to the extent permitted by law, and your statutory consumer rights are unaffected.

10. Suspension and termination

You can delete your account at any time under Settings → Account. Deletion is immediate and removes your data as described in the Privacy Policy. We may suspend or terminate an account that breaches these terms, that poses a security or legal risk, or where required by law — with notice where reasonably possible, and without prior notice where the severity does not allow it. We may also discontinue the beta, or the service, with 30 days' notice by email, giving you time to export your data.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, nor for loss of data, profits, revenue, goodwill, or business opportunity, nor for missed deadlines or business interruption arising from your use of the service. Our total aggregate liability for all claims is limited to the greater of the amount you paid us in the 12 months before the claim, or USD 100. Nothing here limits liability for fraud, wilful misconduct, gross negligence, death or personal injury, or anything else that cannot lawfully be limited.

12. Indemnity

You agree to indemnify us against claims, damages, and reasonable costs arising from content you put into Fokuzen that you had no right to put in, from your breach of these terms, or from your unlawful use of the service.

13. Changes to these terms

We will update these terms as the product evolves, and in particular when paid plans launch — that release will add terms covering pricing, billing cycles, cancellation, and refunds. Material changes are announced by email at least 15 days before they take effect and by updating the date above. Continuing to use Fokuzen after that means you accept the updated terms; if you do not, delete your account before the effective date.

14. Governing law

These terms are governed by the laws of the Eastern Republic of Uruguay, and the courts of Montevideo, Uruguay have jurisdiction over any dispute. If you are a consumer resident in the European Economic Area or the United Kingdom, this does not deprive you of the protection of the mandatory consumer law of your country of residence, nor of the right to bring proceedings there.

15. Other terms

If any provision of these terms is held unenforceable, the rest stays in force and the unenforceable part is limited to the minimum extent necessary. Our not enforcing a provision is not a waiver of it. You may not assign these terms; we may assign them as part of a merger, acquisition, or transfer of the business, on notice to you. These terms and the Privacy Policy are the entire agreement between us about the service.
